1 Agreement to these Terms
By creating an account, browsing products, placing an order, applying as a seller, subscribing to seller services, or otherwise using BidaBoss, you agree to these Terms of Service and our Privacy Policy.
If you do not agree, please do not use the platform. Additional product-specific rules (such as seller guidelines or subscription checkout confirmations) may also apply and form part of your agreement with us.
2 Eligibility
- You may create a customer account on BidaBoss even if you are below 18 years old, provided a parent or legal guardian consents to and supervises your registration and use of the platform.
- If you are under 18, you confirm that your parent or guardian has reviewed our Privacy Policy and these Terms and agrees to them on your behalf where required.
- To register or operate as a seller, coach, or other commercial role that involves subscriptions, payouts, or business obligations, you must be at least 18 years old and legally able to enter into a binding agreement under Philippine law.
- You agree to provide accurate, current, and complete information (including date of birth) and to keep it updated.
3 Accounts & security
- You are responsible for maintaining the confidentiality of your login credentials.
- You are responsible for activity that occurs under your account, unless unauthorized access results from a security failure solely attributable to BidaBoss.
- Notify us immediately at support@bidaboss.ph if you suspect unauthorized use of your account.
- We may require identity or account verification steps to protect users and prevent fraud.
4 Customers, browsing & orders
- Product listings are provided by sellers or the platform catalog. Descriptions, images, and prices should be accurate, but availability and fulfillment details can change.
- When you place an order, you authorize processing of that order according to the selected payment and shipping method. Cash on delivery (COD) may be available for eligible orders.
- Shipping is fulfilled through logistics partners (such as J&T, LBC, or Philex) depending on the order and delivery options.
- You agree to provide a valid delivery address and contact details so orders can be completed.
- Reviews and ratings must be honest and based on your genuine experience. Uploaded review media must not infringe others’ rights or contain unlawful content.
- In-app or in-platform messaging should be used respectfully and only for legitimate order or product communication.
5 Seller obligations
If you apply for or operate a seller account on BidaBoss, you additionally agree that:
- You will list only products you are legally authorized to sell and that comply with Philippine law.
- Product titles, descriptions, images, stock levels, and pricing will be accurate and not misleading.
- You will fulfill accepted orders in a timely manner and keep customers reasonably informed about shipping status.
- You will not engage in fraud, fake reviews, price manipulation, or other unfair practices.
- You remain responsible for your own tax and regulatory compliance (including applicable BIR obligations).
- You grant BidaBoss a non-exclusive license to display your store name, listings, and related content on the platform for marketplace operation and promotion.
- Seller features may require an active paid subscription. Failure to renew within the grace period stated at checkout or in your seller dashboard may result in account deactivation or limited access.
Current seller subscription pricing and renewal terms are shown in your seller dashboard and payment checkout (including Paymongo-powered activation and renewal flows). Fees displayed at the time of payment control for that billing period.
6 Fees, payouts & payments
- Seller subscriptions: Paid through our authorized payment partner, Paymongo, using available methods (such as QRPh, cards, GCash, Maya, GrabPay, and other supported options).
- Customer checkout: May include cash on delivery and other payment methods as enabled on the platform from time to time.
- Commissions / transaction fees: BidaBoss may charge commissions or fees on completed sales as disclosed in your seller tools or applicable program terms.
- Withdrawals: Seller earnings may be withdrawn to bank accounts or e-wallets you designate. You confirm that payout details belong to you or an authorized payee and are accurate.
- Unless required by law or expressly stated otherwise, subscription fees already commenced for a billing period are non-refundable.
7 Content & intellectual property
- You retain ownership of original content you upload (such as store materials, product images you own, and reviews).
- The BidaBoss name, logo, platform design, software, training materials, and related branding are owned by BidaBoss and may not be copied or used without permission.
- You must not upload content that infringes intellectual property, privacy, or publicity rights of others.
- We may remove content that violates these Terms or applicable law.
8 Acceptable use
You agree not to:
- Attempt to gain unauthorized access to accounts, systems, or data.
- Interfere with platform security, scrape data abusively, or disrupt services.
- Use BidaBoss for illegal products, money laundering, phishing, harassment, or spam.
- Misrepresent your identity, affiliation, or the nature of goods you sell.
- Reverse engineer or copy platform software except where Philippine law expressly permits.
9 Suspension & termination
- We may suspend or terminate access for Terms violations, fraud risk, non-payment of required seller fees, legal compliance needs, or to protect users.
- Seller accounts may become inactive if subscription renewal is not completed within the applicable grace period.
- Upon termination, we may retain records as described in our Privacy Policy for legal, accounting, and dispute purposes.
- Legitimate pending seller payouts may be released subject to verification, deductions, chargebacks, and applicable policies, typically within a commercially reasonable period after clearance.
10 Disclaimers & limitation of liability
- BidaBoss provides the platform on an “as is” and “as available” basis. We do not guarantee uninterrupted or error-free service.
- Sellers are generally responsible for their own product quality, legality, and fulfillment performance. BidaBoss is a platform facilitator and is not automatically a party to every buyer–seller transaction.
- To the fullest extent permitted by Philippine law, we are not liable for indirect, incidental, special, or consequential damages arising from your use of the platform.
- Where liability cannot be excluded, our aggregate liability related to your use of paid seller services will not exceed the fees you paid to BidaBoss for those services in the three (3) months preceding the claim.
11 Dispute resolution & governing law
- Please contact support first so we can try to resolve issues in good faith.
- If unresolved, disputes may proceed to mediation consistent with Philippine law before other remedies, where appropriate.
- These Terms are governed by the laws of the Republic of the Philippines.
- Courts in Metro Manila / Pasig City shall have venue for disputes that proceed to litigation, without prejudice to mandatory consumer protections that cannot be waived.
12 Changes to these Terms
We may update these Terms to reflect feature, legal, or business changes. Material updates will be indicated by a revised effective date on this page and may also be communicated by email or in-platform notice. Continued use after changes become effective constitutes acceptance of the updated Terms.
